Tutor Terms & Conditions

These terms govern your engagement as a tutor on the Passco360 platform, operated by Adenat Solutions Limited, Accra, Ghana.

IMPORTANT: By registering as a tutor or continuing to use the Passco360 platform in a tutoring capacity, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions. These terms form part of the legally binding Contractor Agreement between you and Adenat Solutions Limited.

1. Eligibility & Onboarding

1.1 Qualification Requirements

To register as a tutor on Passco360, you must: (a) hold a minimum of a Diploma in Education, a relevant Bachelor's degree, or possess verifiable professional teaching experience of at least two (2) years in a recognised institution in Ghana or West Africa; (b) be at least eighteen (18) years of age; (c) provide a valid Ghana Card, professional ID, or passport for identity verification; and (d) submit your academic or professional credentials for review and approval by Adenat Solutions Limited.

1.2 Approval Process

Submission of an application does not guarantee approval. Adenat Solutions reserves the right to approve or decline any tutor application at its sole discretion, without being required to provide a reason. Approved tutors will receive a confirmation email and access to the Tutor Dashboard.

1.3 Subject Specialisation

You may only offer tutoring services in subjects for which you hold verifiable qualifications or demonstrated expertise. Misrepresentation of your subject competence constitutes grounds for immediate suspension.

2. Conduct & Professional Standards

2.1 Code of Conduct

As a tutor, you represent the Passco360 brand. You agree to: maintain a high standard of professionalism in all interactions with students, schools, and platform administrators; deliver sessions punctually and with adequate preparation; refrain from any form of discrimination, harassment, or inappropriate behaviour towards any student or staff; and uphold the integrity of the Ghanaian educational curriculum.

2.2 Content Standards

All content uploaded or presented during sessions must be factually accurate, educationally sound, and appropriate for the target age group. Content must not infringe upon the intellectual property rights of WAEC, GES, or any other third party. Passco360 reserves the right to review, edit, or remove any content deemed non-compliant.

2.3 Session Attendance & Cancellation

You are expected to honour all scheduled live class sessions. In the event of an unavoidable cancellation, you must notify the platform with a minimum of twenty-four (24) hours' notice. Repeated last-minute cancellations (three or more within a term) may result in suspension of your tutoring privileges and may affect your earnings.

2.4 Student Data Privacy

You must not, under any circumstances, collect, store, share, or use student personal data (including names, phone numbers, school details, or performance records) outside of the Passco360 platform. Violation of this clause constitutes a serious breach and may result in legal action.

3. Earnings, Payments & Revenue Share

3.1 Revenue Share Model

Tutors on the Passco360 platform earn a commission on subscription revenue attributable to their classes. The standard revenue share is as follows: Independent Tutors (self-registered) earn 60% of the net session fee for each live class or group session completed. School-affiliated tutors are compensated per the terms agreed between the school and Adenat Solutions. Adenat Solutions retains the remaining share to cover platform costs, payment processing, and infrastructure.

3.2 Payment Schedule

Earnings are calculated at the end of each calendar month and are disbursed within the first ten (10) working days of the following month. Payments are made via Mobile Money (MTN MoMo, AirtelTigo, Telecel Cash) or direct bank transfer to a Ghana-registered account. A minimum payout threshold of GHS 50.00 applies. Balances below this threshold will roll over to the next cycle.

3.3 Tax Obligations

Tutors are independent contractors. You are solely responsible for declaring and remitting all applicable taxes, including Ghana Revenue Authority (GRA) income tax obligations, arising from your earnings on the platform. Passco360 will issue monthly earning statements upon request for your tax records.

3.4 Disputes

Any earnings dispute must be raised in writing via admin@passco360.com within fourteen (14) days of the payment date. Claims raised outside this window will not be entertained.

4. Intellectual Property

4.1 Ownership of Created Content

Any original content (notes, lesson recordings, solve-alongs, or original question sets) you create and upload to the Passco360 platform grants Adenat Solutions a non-exclusive, royalty-free, worldwide licence to host, display, and distribute such content for educational purposes on the platform. You retain authorship. You may not sell or distribute to third parties, content that was produced exclusively using Passco360 platform tools, without prior written consent.

4.2 WAEC & Third-Party Content

Past questions, marking schemes, and similar materials published by the West African Examinations Council (WAEC) or Ghana Education Service (GES) remain the intellectual property of those bodies. Tutors may reference such content for educational commentary only and must not commercially reproduce or redistribute it.

5. Suspension, Termination & Appeals

5.1 Grounds for Suspension

Adenat Solutions may suspend or permanently terminate your tutor account for the following reasons: repeated or serious violation of the code of conduct; fraudulent activity or misrepresentation; sharing of student data without authorisation; three (3) or more unresolved student complaints within a single academic term; academic dishonesty (e.g., providing exam answers to students in advance); or any criminal conviction relevant to working with minors.

5.2 Notice Period

In non-emergency cases, Passco360 will provide seven (7) days' written notice before account suspension, during which you may respond. Emergency suspensions (involving safety or fraud) may be immediate and without notice.

5.3 Voluntary Termination

You may request to close your tutor account at any time by emailing admin@passco360.com. Any outstanding earnings accrued up to the date of termination will be paid in the next available payment cycle.

5.4 Appeals

If you believe a suspension or termination was unjustified, you may submit a written appeal to admin@passco360.com within fourteen (14) days. Adenat Solutions will review all appeals within ten (10) working days and communicate a final decision.

6. General Provisions

6.1 Amendments

Adenat Solutions reserves the right to amend these Terms at any time. Tutors will be notified of any material changes at least fourteen (14) days in advance via email. Continued use of the platform following such notice constitutes acceptance of the revised terms.

6.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising shall be subject to the jurisdiction of courts located in Accra, Ghana.

6.3 Entire Agreement

These Terms, together with the Tutor Contractor Agreement and the Platform's general Privacy Policy, constitute the entire agreement between you and Adenat Solutions with respect to your use of the platform as a tutor.
